Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and ExeiBit ("ExeiBit", "we", "us"), established in Amsterdam, the Netherlands, governing your use of ExeiBit OS and all related websites, apps and APIs at https://www.exeibit.com (the "Service").

By creating an account, accessing or using the Service, you accept these Terms. If you do not agree, do not use the Service.

• You must be at least 16 years old and legally able to enter into a contract.
• If you use the Service on behalf of an organisation, you confirm you are authorised to bind that organisation to these Terms.
• You are responsible for the accuracy of your account details, for safeguarding your credentials, and for all activity under your account.
• Notify us immediately at start@exeibit.com of any unauthorised access.

ExeiBit OS provides AI-assisted capabilities ("Bits"), workspaces, workflows, distribution tooling and related features. We may add, change or discontinue features. Where a change materially reduces functionality of a paid plan, we will give reasonable prior notice.

The Service is provided as software. It does not provide legal, financial, tax, medical or other professional advice, and outputs must not be relied on as such.

You agree not to:

• Break any applicable law, or infringe the rights of others.
• Upload malware, attempt to breach security, or circumvent access controls, quotas or rate limits.
• Reverse engineer, scrape at scale, or resell the Service without written permission.
• Generate or distribute unlawful, deceptive, harassing, hateful or sexually exploitative content.
• Create deepfakes, impersonate real people, or present an AI avatar as a human being.
• Use the Service to send unsolicited bulk messaging in breach of anti-spam law.
• Interfere with the integrity, availability or performance of the Service.

We may suspend or terminate access immediately for a material breach of this section.

You retain all ownership of the data, prompts, files and other material you submit ("Customer Content"). You grant ExeiBit a worldwide, non-exclusive, royalty-free licence to host, process, transmit and display Customer Content solely to operate, secure and support the Service.

You warrant that you have the rights necessary to submit Customer Content and that it does not infringe third-party rights or applicable law.

Subject to payment of applicable fees, you own the output generated for you through the Service, to the extent such output is capable of ownership under applicable law.

AI output can be inaccurate, incomplete or non-unique, and similar output may be generated for other users. You are responsible for reviewing output before relying on it or publishing it, and for ensuring its use complies with law.

ExeiBit and its licensors own all rights in the Service, including software, models, interfaces, documentation, trademarks and the ExeiBit name and logos. No rights are granted other than the limited, revocable, non-transferable right to use the Service in accordance with these Terms.

• Paid plans and credit bundles are billed in advance through our payment processor.
• Prices are shown in EUR and exclude VAT unless stated otherwise.
• Subscriptions renew automatically for the same period until cancelled.
• Credits are consumed by capability usage and are non-transferable.
• You may cancel at any time; cancellation takes effect at the end of the current billing period.
• Late or failed payment may lead to suspension after notice.

Consumers in the EU have a 14-day right of withdrawal for digital services. By starting to use the Service within that period you expressly request immediate performance and acknowledge losing the right of withdrawal once the service is fully performed.

Beyond statutory rights, fees already paid are non-refundable except where required by law or where we decide otherwise at our discretion. Consumed credits are non-refundable.

The Service integrates with third parties (for example authentication, payment, messaging and AI model providers). Your use of those integrations is also governed by the relevant third party's terms, and we are not responsible for their availability, content or acts.

Personal data is processed as described in our Privacy Policy. Where we process personal data on your behalf as a processor, our data processing terms apply. Contact start@exeibit.com for a data processing agreement.

We aim for high availability but do not guarantee uninterrupted service. Planned maintenance, updates, third-party outages and force majeure may cause downtime. Support is provided by email at start@exeibit.com.

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy of output and non-infringement. Mandatory consumer rights are unaffected.

To the maximum extent permitted by law, ExeiBit is not liable for indirect, incidental, special or consequential damages, nor for loss of profit, revenue, goodwill or data. Our total aggregate liability arising out of or relating to the Service is limited to the amounts you paid to ExeiBit in the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability for intent, wilful recklessness, death or personal injury, or any liability that cannot be excluded by law.

You will indemnify and hold ExeiBit harmless against third-party claims arising from your Customer Content, your use of the Service, or your breach of these Terms or of applicable law.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access for material breach, non-payment, legal requirement, or risk to the security or integrity of the Service. On termination, your right to use the Service ends and your data is deleted in line with the Privacy Policy.

We may update these Terms. Material changes are announced in the product or by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance; if you disagree, you may terminate before that date.

These Terms are governed by the laws of the Netherlands. Disputes are submitted to the competent court in Amsterdam, the Netherlands, unless mandatory consumer law grants you the right to bring proceedings elsewhere. Consumers may also use the EU Online Dispute Resolution platform.

If a provision is found unenforceable, the remainder stays in force. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. These Terms, together with the Privacy Policy, form the entire agreement between us.
